These Terms of Use (the Terms) govern your access to and use of HowMightWe.ai, available at https://www.howmightwe.ai, and any related website, application, content, or service that links to these Terms (the Service).

The Service is operated by Innovation Practice LLC (Company, we, us, or our), a Wyoming limited liability company registered at 1309 Coffeen Avenue, Sheridan, WY 82801, United States.

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

01What the service does

HowMightWe.ai helps users reframe messy problem statements into clearer brainstorming questions using AI-supported design-thinking methods.

The Service is intended to help with ideation, reframing, facilitation, and creative problem exploration. It provides better questions, not final answers, professional advice, or a substitute for human judgment.

02Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you are 18 or older and have the legal authority to accept these Terms personally or on behalf of the organization you represent.

03Accounts

You may be able to use parts of the Service without creating an account. If account functionality is offered and you choose to create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You agree to provide accurate account information and to keep it current. We may suspend or terminate your account if we believe your information is inaccurate, your account has been compromised, or you have violated these Terms.

If the Service allows sign-in through a third-party provider such as Google, that provider's own terms and privacy policy also apply to your use of that sign-in method.

04Your inputs and outputs

Your inputs

You may submit problem statements, prompts, text, feedback, or other content to the Service (Inputs). You retain ownership of your Inputs.

You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, process, analyze, and display your Inputs solely as needed to operate, provide, secure, troubleshoot, and improve the Service, comply with law, and enforce these Terms.

You are responsible for your Inputs. You represent that you have all rights and permissions needed to submit them and that your Inputs do not violate any law, third-party right, confidentiality obligation, or these Terms.

Do not submit sensitive personal data, regulated data, confidential business information, trade secrets, or information you are not authorized to share unless you understand and accept the risks of using an online AI-assisted service.

Outputs

The Service may generate questions, reframes, suggestions, explanations, or other content based on your Inputs (Outputs). As between you and us, and to the extent permitted by applicable law, you may use the Outputs for your personal or internal business purposes.

AI-generated Outputs may not be unique. Similar or identical Outputs may be generated for other users. We do not guarantee that any Output is protectable by copyright, free from third-party claims, accurate, complete, or suitable for your intended use.

You are responsible for reviewing, validating, and deciding whether to use any Output.

05Feedback

If you send us comments, suggestions, ideas, bug reports, or other feedback about the Service, you grant us the right to use that feedback without restriction or compensation. This does not give us ownership of your Inputs or private project content.

06Our intellectual property

We and our licensors own the Service, including the website, software, workflows, interface, design, text, graphics, branding, trademarks, logos, documentation, and other materials we provide through the Service, excluding your Inputs and any Outputs you are permitted to use.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal use or internal business purposes.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Service or any part of it, except to the extent allowed by law or expressly permitted by us in writing.

07Acceptable use

You agree not to use the Service to:

  • violate any law, regulation, contract, intellectual property right, privacy right, publicity right, or other third-party right;
  • submit content that is unlawful, harmful, abusive, harassing, defamatory, hateful, discriminatory, sexually explicit, deceptive, or otherwise objectionable;
  • submit malware, malicious code, phishing content, spam, or content intended to interfere with the Service or another system;
  • collect, scrape, harvest, or extract data from the Service except as permitted by normal use or by our written consent;
  • circumvent rate limits, authentication, security controls, access controls, usage limits, or other protective measures;
  • use bots, scripts, or automated systems to access the Service without our written permission, other than standard search engine indexing that follows our robots instructions;
  • reverse engineer, decompile, disassemble, or attempt to derive source code, model prompts, hidden logic, or non-public methods from the Service;
  • use the Service to build, train, benchmark, or improve a competing product or service without our written permission;
  • impersonate another person or organization, misrepresent your affiliation, or submit false information;
  • use the Service for high-risk decisions where an incorrect Output could affect legal rights, employment, credit, education, housing, healthcare, safety, or similarly significant matters without appropriate human review and independent verification; or
  • use the Service in a way that could damage, disable, overburden, or impair the Service.

We may investigate suspected violations and may suspend or terminate access where we reasonably believe these Terms have been violated.

08No regulated or professional advice

The Service is not designed to provide legal, medical, financial, tax, employment, psychological, safety, regulatory, or other professional advice. Outputs are for informational and creative purposes only.

You should consult qualified professionals before relying on any Output for professional, regulated, or high-impact decisions.

09Third-party services

The Service may rely on or link to third-party services, including hosting providers, analytics tools, authentication providers, email providers, AI model providers, and other infrastructure providers.

We are not responsible for third-party websites, services, content, policies, or practices. Your use of third-party services may be governed by their own terms and privacy policies.

10Privacy

Please review our Privacy Policy, which explains how we collect, use, disclose, and protect personal information. The Privacy Policy is incorporated into these Terms by reference.

11Service changes and availability

We may modify, suspend, or discontinue all or part of the Service at any time. We may also change features, usage limits, technical requirements, or availability.

We do not guarantee that the Service will be uninterrupted, secure, error-free, or available at any particular time or location.

12Changes to these terms

We may update these Terms from time to time. When we make material changes, we will provide notice by posting the updated Terms on the Service, updating the date above, or using another reasonable method.

Changes apply prospectively from the effective date stated in the updated Terms. We will not use a Terms update to retroactively expand our rights to your previously submitted Inputs in a materially different way unless we provide appropriate notice or obtain consent where required by law.

If you continue to use the Service after updated Terms become effective, you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

13Termination

You may stop using the Service at any time.

We may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms, if your use creates risk for us or others, if required by law, or if we discontinue the Service.

Sections that by their nature should survive termination will survive, including sections on intellectual property, Inputs and Outputs, disclaimers, limitations of liability, indemnification, dispute resolution, and miscellaneous terms.

14Disclaimers

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

15Limitation of liability

Nothing in these Terms limits liability that cannot be limited under applicable law.

16Indemnification

You agree to indemnify, defend, and hold harmless Innovation Practice LLC and its owners, directors, officers, employees, contractors, agents, affiliates, and service providers from and against any claims, losses, liabilities, damages, judgments, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • your use of the Service;
  • your Inputs;
  • your violation of these Terms;
  • your violation of any law or third-party right; or
  • your misuse of Outputs.

We may assume exclusive control of the defense of any matter subject to indemnification, and you agree to cooperate with us.

17Governing law and venue

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules.

Subject to any rights you may have under applicable consumer protection laws, the state and federal courts located in Wyoming will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, and you consent to venue and personal jurisdiction in those courts.

18California users and residents

If a complaint with us is not resolved to your satisfaction, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, United States, or by telephone at (800) 952-5210 or (916) 445-1254.

19Miscellaneous

These Terms, together with any policies that link to them, are the entire agreement between you and us regarding the Service.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Our failure to enforce any provision is not a waiver of our right to enforce it later.

You may not assign or transfer these Terms or your rights under them without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

There is no joint venture, partnership, employment, fiduciary, or agency relationship between you and us because of these Terms or your use of the Service.
